Common use of Claims of Debtors on the Collateral Clause in Contracts

Claims of Debtors on the Collateral. As of the date of this Agreement, all account debtors and other obligors whose debts or obligations are part of the Collateral have no right to setoffs, counterclaims or adjustments, and no defenses in connection therewith, except defenses, adjustments, setoffs and counterclaims that arise in the ordinary course of business.
