Common use of Choice of Law; Jurisdiction; Venue Clause in Contracts

Choice of Law; Jurisdiction; Venue. This Agreement shall be governed by the laws of the State of New York, and the Federal laws of the United States of America. The Company consents and agrees, and hereby submits, to the general and exclusive jurisdiction of the Federal and State courts in New York, New York, agrees to commence any actions, suits, and proceedings only in the Supreme Court of the State of New York, New York County, or the United States District Court for the Southern District of New York, and waives any objection to venue in any such court in the event any action, suit, or proceeding is commenced in such courts under or with respect to any matters in connection with this Agreement. THE PARTIES HEREBY WAIVE THE RIGHT TO A TRIAL BY JURY.
