Common use of Charter and Good Standing Clause in Contracts

Charter and Good Standing. For each Borrower, such Person’s (a) charter and all amendments thereto and (b) good standing certificates in its state of incorporation, each dated a recent date prior to the Closing Date and certified by the applicable Secretary of State or other authorized Governmental Authority.
