Charitable Commitments Sample Clauses
The Charitable Commitments clause defines the obligations of a party to make donations or contributions to specified charitable organizations as part of the agreement. Charitable Commitments. Buyer is committed to supporting charitable activities in the communities which the Company serves consistent with the Company’s past practices and agrees that it will honor all charitable commitments of the Company as of the Effective Time and, for a period of three (3) years following the Effective Time, Buyer will continue the Company’s charitable giving in the region currently served by the Company at an annual level as set forth on Schedule 6.17 of the Company Disclosure Schedule. Determinations regarding the allocation of these funds shall be made by Buyer.
Charitable Commitments. None of the Subsidiaries has any unsatisfied community or charitable pledges, contributions or commitments in excess of $25,000 in the aggregate.
