CHANGES TO CONTRACT PURCHASE GUIDELINES. The Seller covenants that it will not make any material credit-related changes to the Seller's Contract Purchase Guidelines or allow any material credit-related changes to TFC's Contract Purchase Guidelines without the prior written consent of the Note Purchaser (which consent shall not unreasonably be withheld). The Seller covenants to provide prompt written notice to the Note Purchaser upon any material change made to the Seller's or TFC's Contract Purchase Guidelines.
