Changes Requested by Tenant. Any changes in the Tenant Improvements --------------------------- after approval of the Working Drawings shall be at Tenant's sole cost and expense and shall be subject to Landlord's approval. Tenant shall pay all costs incurred by Landlord in reviewing any requested change, whether such change is approved by Landlord or not. If Landlord approves any such request, Landlord shall notify Tenant of the estimated costs and delay, if any, chargeable to Tenant by reason of such change. Within three (3) days of receipt of such estimated cost, Tenant shall notify Landlord in writing whether Tenant approves such change. If Tenant approves such change, Tenant shall promptly pay Landlord the estimated costs of such change, and the Contractor shall proceed with the change as soon as reasonably practical thereafter. If Tenant does not promptly approve such change and/or pay such estimated cost, Landlord shall be entitled to proceed in accordance with the previously approved Working Drawings.
Changes Requested by Tenant. Tenant may request Changes after Tenant approves the Approved Plans by notifying Landlord thereof in writing in substantially the same form as the AIA standard change order form (a “Tenant Change Order Request”), which Tenant Change Order Request shall detail the nature and extent of any requested Changes. If the nature of a Change requires revisions to the Approved Plans, then Tenant shall be solely responsible for the cost and expense of such revisions. To the extent that the Tenant Improvement Allowance is insufficient to pay for the cost of such Change, Tenant shall reimburse Landlord for all additional costs and expenses payable by Landlord to complete Landlord’s Work due to a Tenant-requested Change in accordance with the payment provisions of this Work Letter. Tenant Change Order Requests shall be signed by Tenant’s Authorized Representative.
Changes Requested by Tenant. Any changes to the Tenant Work requested by the Tenant after final Landlord approval of the Working Drawings (“Additional Work”) shall be subject to Landlord’s prior approval and shall, upon approval by Landlord, be incorporated into the Working Drawings by the Tenant’s Architect. Any Additional Work shall be completed at Tenant’s sole cost and expense, including without limitation costs associated with: (i) revisions to the Working Drawings; (ii) construction of the Additional Work; (iii) required permits, governmental fees, and inspections; (iv) Washington State sales tax; (v) as-built record documentation; and (vi) any delays resulting from the performance of the Additional Work. Under no circumstances shall the Commencement Date change as a result of Tenant’s Additional Work.

(b) Landlord shall approve or reject any Tenant Change Order Requests in accordance with the procedures established pursuant to Article 2. If Landlord does not approve in writing a Tenant Change Order Request, then such Tenant Change Order Request shall be deemed rejected by Landlord, and Tenant shall not be permitted to alter Tenant’s Work as contemplated by such Tenant Change Order Request.

(a) Tenant may request Base Building Changes or Tenant Improvement Changes after Landlord approves the Approved Tenant Plans, as applicable, by notifying Landlord thereof in writing in substantially the same form as the AIA standard change order form (a “Tenant Change Order Request”), which Tenant Change Order Request shall detail the nature and extent of any requested Base Building Changes or Tenant Improvement Changes. If the nature of a Tenant Change Order Request requires revisions to the Approved Tenant Plans, then Tenant shall be solely responsible for the cost and expense of such revisions. Tenant Change Order Requests shall be signed by Tenant’s Authorized Representative.
(b) Landlord shall approve or reject any Tenant Change Order Requests in accordance with the procedures established pursuant to Section 2. If Landlord does not approve in writing a Tenant Change Order Request, then such Tenant Change Order Request shall be deemed approved by Landlord as long as Landlord receives with such written Tenant Change Order Request all information reasonably necessary to permit Landlord to consider such request. If Landlord fails to grant or deny the requested Tenant Change Order Request within five (5) business days after it receives Tenant’s request (and all required additional information, if any), then Landlord shall be deemed to have NY\5747656.2 granted its consent to a given Tenant Change Order Request. These deemed consent procedures for Tenant Change Order Requests shall have no application to any other consent by Landlord.

Any change in Landlord's Work requested by Tenant after approval of the Final Plans shall be at Tenant's sole cost and expense and shall be subject to Landlord's approval. If Tenant approves, Tenant shall promptly pay Landlord the estimated cost of such change, and Landlord's contractor shall proceed with the change as soon as reasonably practicable thereafter.
