Common use of Changes in Stock Clause in Contracts

Changes in Stock. In the event of any change in the number and kind of outstanding stock by reason of any recapitalization, reorganization, merger, consolidation, stock split or any similar change affecting the Common Shares (other than a dividend payable in Common Shares) the Company shall make an appropriate adjustment in the number and terms of the Units credited to the Employee’s Account as provided in the Plan.

Changes in Stock. In the event of any change in the number and kind Company’s common stock through the declaration of outstanding extraordinary dividends, stock by reason of any dividends, recapitalization, reorganizationstock splits, mergeror combinations or exchanges of Common Stock, consolidation, stock split or any similar change affecting in the Common Shares (other than event of a dividend payable in Common Shares) sale of all or substantially all of the assets of the Company or the merger or consolidation of the Company with or into another corporation, or in the event of other similar transactions, there shall make be an appropriate adjustment in to the number and terms of the Units credited Shares and, if applicable, to the Employee’s Account as provided in the Planprice thereof.

In the event of any change in the number and kind of outstanding shares of stock by reason of any recapitalization, reorganization, merger, consolidation, stock split or any similar change affecting the Common Shares (other than a dividend payable in Common Shares) the Company shall make an appropriate adjustment in the number and terms of the Units credited Stock Option, which adjustments shall be made in a manner so as to the Employee’s Account as provided in the Plan.ensure continued exemption from or compliance with Code section 409A.
