Common use of Changes in Circumstances Clause in Contracts

Changes in Circumstances. No Obligor has (i) within the period of four months prior to the date hereof, changed its location (as defined in Section 9-307 of the NYUCC), (ii) except as specified in Annex 1, within the period of five years prior to the date hereof, changed its name, or (iii) except as specified in Annex 2, within the period of five years prior to the date hereof, become a "new debtor" (as defined in Section 9-102(a)(56) of the NYUCC) with respect to a currently effective security agreement previously entered into by any other Person.

Changes in Circumstances. No Such Obligor has not (ia) within the period of four months prior to the date hereof, changed its location (as defined in Section 9-307 of the NYUCC), (iib) except as specified in Annex 1, within the period of five years prior to the date hereof, heretofore changed its name, or (iiic) except as specified in Annex 2, within the period of five years prior to the date hereof, heretofore become a "“new debtor" ” (as defined in Section 9-102(a)(56) of the NYUCC) with respect to a currently effective security agreement previously entered into by any other Person.
