Changes in Base Management Fee. CONTRACTOR and ANAHEIM agree 28 that no changes to the Base Management Fee set forth herein shall be made during Years One and 1 Two of the Initial Term of this Agreement. For years three and four of the Initial Term of this 2 Agreement, the Base Management Fee shall be negotiated with the change not to exceed changes 3 in the Orange County Consumer Price Index (CPI) for the preceding 12-month period. The Base 4 Management Fee monthly installment shall not vary from month to month.
