Common use of Change in Control Severance Benefits Clause in Contracts

Change in Control Severance Benefits. If, within 12 months following a Change in Control, your employment is terminated by the Company without Cause, or by you for Good Reason; and if you sign, date, return to the Company and allow to become effective a release of all claims in a form satisfactory to the Company in its sole discretion (the “Release”); then in lieu of any Severance Benefits set forth in Section 10 herein, you shall be entitled to receive the following severance benefits (the “Change in Control Severance Benefits”):

IfIn the event that the Company terminates your employment without Cause (other than due to death or disability) or you resign your employment for Good Reason (as defined below), in either case, within 12 the three months immediately preceding or the twelve months immediately following the consummation of a Change in ControlControl (as defined below), your employment is terminated by in addition to the Accrued Obligations and provided you enter into and do not revoke the Release, the Company without Cause, or by will provide you for Good Reason; and if you sign, date, return to with all of the Company and allow to become effective a release of all claims in a form satisfactory to the Company in its sole discretion (the “Release”); then in lieu of any Severance Benefits termination benefits set forth in Section 10 herein8 above, you shall be entitled to receive on the following severance benefits (the “Change same schedule as set forth in Control Severance Benefits”):Section 8 above, except that:
