Common use of Chain Services Clause in Contracts

Chain Services. Manager shall, commencing with the Execution Date and thereafter during each Inn Term, cause to be furnished to each such Inn certain services ("Chain Services") which are furnished generally on a central or regional basis to other inns in the "Residence Inn by Marriott" System which are managed by Manager or any Marriott Affiliate, and which benefit each Inn as a participant in such System. Chain Services shall include: (i) certain divisional executive management; (ii) programs for training and manpower development; computer payroll, accounts payable, property and other accounting services; and (iii) such additional central or regional services as may from time to time be furnished for the benefit of inns in the "Residence Inn by Marriott" System or in substitution for services now performed at individual inns which may be more efficiently performed on a group basis. The services described in this Section 10.02 57 shall not include services which are described in the definitions of "Base Management Fee" and "Residence Inn System Fee." Costs and expenses incurred in the provision of such services shall be allocated on a fair and equitable basis among all "Residence Inn by Marriott" inns managed by Manager, Marriott, or any Marriott Affiliate in the United States receiving the same. To the extent that services described in this Section 10.02 have been funded through the Marketing Fund, there will be no allocation of the costs and expenses thereof under this Section 10.02.

Chain Services shall include: (i) certain divisional executive management; (ii) sales office services; the development of programs for training and manpower development; and computer payroll, accounts payable, property payroll and other accounting services; and (iii) such additional central or and regional services as may from time to time be furnished for the benefit of inns in the "Residence Inn by Marriott" System or in substitution for services now performed at individual inns which may be more efficiently performed on a group basis. The services described in this Section 10.02 57 shall not include services which are described in the definitions of "Base Management Fee" and "Residence Inn System Fee." Costs and expenses incurred in the provision providing of such services shall be allocated on a fair and equitable basis basis, on a "per-suite" basis, among all "Residence Inn by Marriott" inns managed by Manager, Marriott, or any Marriott Affiliate Manager in the United States receiving the same. To the extent that services described in this Section 10.02 have been funded through the Marketing Fund, there will be no allocation of the costs and expenses thereof under this Section 10.02.
