Common use of CESSION Clause in Contracts

CESSION. The Purchaser shall not sell, assign, cede or dispose of the Purchaser’s rights under this Contract without the prior written consent of the Seller. In the event of the Purchaser being an artificial person, such as a company, close corporation or trust, the Purchaser shall not agree to sell or otherwise alienate the shares, members interest or beneficial interest (as the case may be) in such Purchaser prior to Date of Transfer without the prior written consent of the Seller, which consent the Seller may in its sole and absolute discretion grant or refuse.
