Common use of Cession, delegation and assignment Clause in Contracts

Cession, delegation and assignment. Each Party will only be entitled to cede, delegate or otherwise assign or transfer any of its rights, obligations or interest in, under or in terms of this Agreement to any third party ("Assignee") with the prior written consent of the other Party, which may not be unreasonably withheld or delayed, provided that the Assignee shall be bound by the Provisions of this Agreement and the MOU (if applicable).
