Certification or determination Clause Samples
A 'Certification or determination' clause establishes the process by which a specified party, often an independent expert or contract administrator, formally verifies or decides certain facts or outcomes under the contract. This may include confirming completion of work, assessing compliance with standards, or determining amounts due. By designating an authoritative decision-maker, the clause helps resolve uncertainties and disputes efficiently, ensuring that contractual obligations are objectively assessed and reducing the risk of prolonged disagreements between the parties.
Certification or determination. Any certification or determination by the Security Trustee of a rate or amount under any Finance Document or this Guarantee is, in the absence of manifest error, conclusive evidence of the matters to which it relates.
