Common use of Certificate of Purchaser Clause in Contracts

Certificate of Purchaser. There having been delivered to the Vendors a certificate of the Purchaser dated the Closing Date, executed by an authorized officer or director of the Purchaser, certifying that the representations and warranties made by the Purchaser in this Agreement are true and correct as at the Closing and that the covenants and obligations to be observed or performed by the Purchaser on or before the Closing pursuant to the terms of this Agreement have been duly observed and performed; and

Certificate of Purchaser. Certificate of Purchaser. There having been If this Agreement is executed by the parties prior to Closing, Purchaser shall have delivered to the Vendors Sellers a certificate of the Purchaser Purchaser, dated the Closing Date, executed Date and signed by an authorized officer or director its president and secretary to the effect that (i) each of the Purchaser, certifying that the representations and warranties made of Purchaser contained herein is true as of the Closing; and (ii) Purchaser has performed all obligations and complied with all covenants required by the Purchaser in this Agreement are true to be performed and correct as at complied with by it prior to the Closing and that the covenants and obligations to be observed or performed by the Purchaser on or before the Closing pursuant to the terms of this Agreement have been duly observed and performed; andDate.
