Certificate of independent accountants conclusive Sample Clauses

The 'Certificate of independent accountants conclusive' clause establishes that determinations or calculations made by an independent accountant are final and binding on the parties involved. In practice, this clause is often used in agreements where financial figures—such as earn-outs, adjustments to purchase price, or profit calculations—may be subject to dispute, and an independent accountant is appointed to review and certify the relevant numbers. By making the accountant's certificate conclusive, the clause provides a clear and authoritative resolution mechanism, reducing the potential for prolonged disagreements and ensuring that financial matters are settled efficiently and impartially.
