Common use of Certificate as to Adjustments Clause in Contracts

Certificate as to Adjustments. Upon the occurrence of each adjustment or readjustment of the Current Warrant Price, the Company, at its expense, shall promptly compute such adjustment or readjustment in accordance with the terms hereof and prepare and furnish to the Holder of this Warrant a certificate setting forth such adjustment or readjustment and showing in detail the facts upon which such adjustment or readjustment is based. The Company shall, upon the written request at any time of the Holder of this Warrant, furnish or cause to be furnished to such Holder a like certificate setting forth (i) such adjustments and readjustments, (ii) the Current Warrant Price at the time in effect and (iii) the number of shares of Common Stock and the amount, if any, or other property which at the time would be received upon the exercise of Warrants owned by such Holder.

The Company shall, upon the written request request, at any time time, of the Holder of this Warrantany such Holder, furnish or cause to be furnished to such Holder a like certificate setting forth forth: (i) such adjustments and readjustments, ; (ii) the Current Warrant Exercise Price and the Default Exercise Price at the time in effect effect; and (iii) the number of shares of Common Stock and the amount, if any, or of other property which that at the time would be received upon the exercise of Warrants owned by such Holderthis Warrant.

Failure to provide the Certificate shall not constitute an event of default.

Upon the occurrence of or each adjustment or readjustment of the Current Warrant PriceConversion Price pursuant to this Section 7, the CompanyDebtor, at its expense, shall promptly compute such adjustment or readjustment in accordance with the terms hereof and prepare and furnish to the Holder holders of this Warrant Note a certificate setting forth such adjustment or readjustment and showing in detail the facts upon which such adjustment or readjustment is based. The Company Debtor shall, upon the written request at any time of the Holder any holder of this WarrantNote, furnish or cause to be furnished to such Holder holder a like certificate setting forth (i) all such adjustments and readjustments, (ii) the Current Warrant Conversion Price at the time in effect effect, and (iii) the number of shares of Common Stock and the amount, if any, or of other property which at the time would be received upon the exercise conversion of Warrants owned by such Holderthe Note.

The Company Corporation shall, upon the written request at any time of the Holder any affected holder of this WarrantConvertible Preferred, furnish or cause to be furnished to such Holder holder a like certificate setting forth (i) such adjustments and readjustments, (ii) the Current Warrant Conversion Price at the time in effect effect, and (iii) the number of shares of Common Stock and the amount, if any, or of other property which at the time would be received upon the exercise conversion of Warrants owned by each share of such HolderConvertible Preferred.
