Common use of Certain Proprietary Information Clause in Contracts

Certain Proprietary Information. If Employee possesses any proprietary information of another person or entity as a result of a prior employment or other relationship, Employee shall honor any legal obligation that Employee has with that person or entity with respect to such proprietary information. Employee warrants that he has disclosed to the Company the nature of any proprietary information in Employee's possession as a result of prior employment, and that Employee has sought and received independent legal advice that Employee will not breach any legal obligation to refrain from disclosure or use of such proprietary information by entering into or performing this Agreement.
