Certain Notifications. From the date of this Agreement until the Closing, Seller and Buyer shall promptly notify the other parties hereto in writing regarding any: (a) breach of any covenant or obligation of such party hereunder, as applicable; and (b) fact, circumstance, event or action which will result in, or would reasonably be expected to result in, the failure of such party to timely satisfy any of the closing conditions specified in Article VII, as applicable.
