Common use of Certain Books and Records Clause in Contracts

Certain Books and Records. All of each Seller's (a) organizational documents, corporate books and records (including minute books and stock ledgers and records), and originals of account books of original entry, (b) duplicated copies of any books, records, accounts, checks, payment records, Tax records (including payroll, unemployment, real estate and other Tax records) and other similar books, records and information relating to such Seller's operation of the business of the Stations prior to the Closing Date, (c) records prepared by or on behalf of such Seller in connection with the sale of the Stations, and (d) records and documents relating to any Excluded Assets.
