Cause; Other than for Good Reason or During the Window Period. (i) If the Executive’s Separation from Service occurs by reason of the Company’s termination of Executive’s employment hereunder for Cause, this Agreement shall terminate without further obligations to the Executive hereunder other than the obligation to pay the Executive’s Base Salary through the Executive’s Separation Date and the timely payment or provision of deferred compensation and other employee benefits if and when otherwise due.
