Common use of Capitalization and Transaction Documents Clause in Contracts

Capitalization and Transaction Documents. Each of the representations and warranties made by the Borrower and its Subsidiaries in any of the Capitalization Documents and the Transaction Documents was true and correct in all material respects when made and continue to remain true and correct in all material respects on the Closing Date, except to the extent that any of such representations and warranties relate, by the express terms thereof, solely to a date falling prior to the Closing Date, and except to the extent that any of such representations and warranties may have been affected by the consummation of the transactions contemplated and permitted or required by the Loan Documents.
