Capital Commitment. (a) GEM grants to the Company a Capital Commitment on the terms and conditions of this agreement under which the Company may, during the Commitment Period, require GEM to subscribe for (or cause to be subscribed for) such a number of Shares having a total issue price not exceeding the Total Commitment. (b) GEM agrees that during the Commitment Period it will subscribe for (or cause to be subscribed for) Shares having a total issue price not exceeding the Total Commitment on the terms and conditions described in this agreement.
