Common use of Cancellation or Adjustment of Global Note Clause in Contracts

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in the Global Note have either been exchanged for certificated Notes, redeemed, repurchased or cancelled, such Global Note shall be returned to the Depository for cancellation or retained and cancelled by the Trustee. At any time prior to such cancellation, if any beneficial interest in the Global Note is exchanged for certificated Notes, redeemed, repurchased or cancelled, the Principal Amount at Maturity of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Notes Custodian for such Global Note with respect to such Global Note.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in the a Global Note have either been exchanged for certificated Certificated Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, such Global Note shall be returned by the Depositary to the Depository Trustee for cancellation or retained and cancelled canceled by the Trustee. At any time prior to such cancellation, if any beneficial interest in the a Global Note is exchanged for certificated Certificated Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, the Principal Amount at Maturity principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Notes Trustee (if it is then the Custodian for such Global Note Note) with respect to such Global Note, by the Trustee or the Custodian, to reflect such reduction.

At any time prior to such cancellation, if any beneficial interest in the a Global Note is exchanged for certificated Definitive Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, the Principal Amount at Maturity principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Notes Trustee (if it is then the Custodian for such Global Note Note) with respect to such Global Note, by the Trustee or the Custodian, to reflect such reduction.

At any time prior to such cancellation, if any beneficial interest in the a Global Note is exchanged for certificated Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelled, the Principal Amount at Maturity principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Registrar (if it is then the Notes Custodian for such Global Note Note) with respect to such Global Note, by the Trustee or the Notes Custodian, to reflect such reduction.

At any time prior to such cancellation, if any beneficial interest in the a Global Note is exchanged for certificated NotesNotes pursuant to Section 2.4, redeemed, repurchased purchased or cancelledcanceled, the Principal Amount at Maturity principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Registrar (if it is then the Notes Custodian for such Global Note Note) with respect to such Global Note, by the Trustee or the Notes Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in the a Global Note have either been exchanged for certificated Certificated Notes, transferred, redeemed, repurchased or cancelledcanceled, such Global Note shall be 132 returned by the Depositary to the Depository Trustee for cancellation or retained and cancelled and returned to the Company by the Trustee. At any time prior to such cancellation, if any beneficial interest in the a Global Note is exchanged for certificated Certificated Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelledcanceled, the Principal Amount at Maturity principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Notes Custodian for such Global Note Registrar with respect to such Global Note, by the Trustee or the Notes Custodian, to reflect such reduction.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in the a particular Global Note have either been exchanged for certificated Notes, Definitive Notes or a particular Global Note has been redeemed, repurchased or cancelledcanceled in whole and not in part, each such Global Note shall be returned to the Depository for cancellation or retained and cancelled canceled by the TrusteeTrustee in accordance with Section 2.11 of this Indenture. At any time prior to such cancellation, if any beneficial interest in the a Global Note is exchanged for certificated or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Note or for Definitive Notes, redeemed, repurchased or cancelled, the Principal Amount at Maturity principal amount of Notes represented by such Global Note shall be reduced accordingly; and an adjustment if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Note, such other Global Note shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Notes Custodian for such Global Note with respect to such Global Noteincreased accordingly.

Cancellation or Adjustment of Global Note. At such time as all beneficial interests in the a Global Note have either been exchanged for certificated Definitive Registered Notes, transferred, redeemed, repurchased or cancelled, such Global Note shall be returned by the Depositary to the Depository an Authentication Agent for cancellation or retained and cancelled by the Trusteean Authentication Agent. At any time prior to such cancellation, if any beneficial interest in the a Global Note is exchanged for certificated Definitive Registered Notes, transferred in exchange for an interest in another Global Note, redeemed, repurchased or cancelled, the Principal Amount at Maturity principal amount of Notes represented by such Global Note shall be reduced and an adjustment shall be made by the Trustee or the Notes Custodian to reflect such reduction on the books and records of the Notes Custodian for such Global Note Registrar with respect to such Global Note, by the Trustee, to reflect such reduction.
