Common use of Cancellation of Certificate of Limited Partnership Clause in Contracts

Cancellation of Certificate of Limited Partnership. Upon the completion of the distribution of Partnership property as provided in Section 13.3 and Section 13.4 of this Agreement, the Partnership shall be terminated, and the Liquidator (or the General Partners and Limited Partners if necessary) shall cause the cancellation of the Certificate in the State of Delaware and of all qualifications and registrations of the Partnership as a foreign limited partnership in jurisdictions other than the State of Delaware and shall take such other actions as may be necessary to terminate the Partnership.

Cancellation of Certificate of Limited Partnership. Upon the completion of the distribution of Partnership property as provided in Section Sections 13.3 and Section 13.4 of this Agreement13.4, the Partnership shall be terminated, and the Liquidator (or the General Partners and Limited Partners Partners, if necessary) shall cause the cancellation of the Certificate in the State of Delaware Limited Partnership and of all qualifications and registrations of the Partnership as a foreign limited partnership in jurisdictions other than the State of Delaware and shall take such other actions as may be necessary to terminate the Partnership. The Partnership shall be deemed to continue in existence for all purposes of this Agreement until it is terminated pursuant to this Section 13.5.
