Common use of Bylaws/Operating Agreement Clause in Contracts

Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of each Borrower certified by a secretary or assistant secretary of such Borrower (pursuant to a secretary's certificate in substantially the form of Schedule 4.1-1 attached hereto) as of the Closing Date to be true and correct and in force and effect as of such date.

Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of each Borrower of the Borrowers, the Acquired Company and their respective Subsidiaries certified by a secretary or assistant secretary of such Borrower Person (pursuant to a secretary's ’s certificate in substantially the form of Schedule 4.1-1 attached hereto) as of the Closing Date to be true and correct and in force and effect as of such date.
