Planet will indemnify, defend, and hold harmless Licensee, its officers, directors, affiliates, and employees (the “Licensee Indemnitees”) from and against any and all Costs arising out of or in connection with any Claim brought by any third party against any Licensee Indemnitee(s) to the extent that Licensee’s use of the Content infringes a third party’s validly issued copyrights, but specifically excluding any Claims arising based on any modifications to or combinations of the Content.
