Common use of By-Laws and Corporate Authorizations Clause in Contracts

By-Laws and Corporate Authorizations. Copies of the by-laws of the Borrower together with all authorizing resolutions and evidence of other corporate action taken by the Borrower to authorize the execution, delivery and performance by the Borrower of this Agreement and the Notes and the consummation by the Borrower of the transactions contemplated hereby, certified as true and correct as of the Effective Date by a duly authorized officer of the Borrower;
