Common use of By-Laws and Corporate Authorizations Clause in Contracts

By-Laws and Corporate Authorizations. Copies of the by-laws of each Borrower and each Guarantor together with all authorizing resolutions and evidence of other corporate action taken by each Borrower and each Guarantor to authorize the execution, delivery and performance by each Borrower and each Guarantor of this Agreement, the Notes and the Security Documents to which each Borrower or such Guarantor, respectively, is a party and the consummation by such Borrower or such Guarantor, respectively, of the transactions contemplated hereby, certified as true and correct as of the Effective Date by a duly authorized officer of each Borrower or each Guarantor, respectively;
