Common use of By Ikaria Clause in Contracts

By Ikaria. Ikaria agrees to defend BioLineRx, its Affiliates and their respective directors, officers, employees and agents at Ikaria’s cost and expense, and shall indemnify and hold harmless BioLineRx and its Affiliates and their respective directors, officers, employees and agents from and against any liabilities, losses, costs, damages, fees or expenses (collectively, “Losses”) arising out of any Third Party claim to the extent relating to (i) any breach by Ikaria of any of its representations, warranties or obligations pursuant to this Agreement, or (ii) personal injury, property damage, product liability or other damage resulting from the Development, Manufacture, use or Commercialization of a Product by Ikaria or its Affiliates or Licensees, excluding any claim for which BioLineRx indemnifies Ikaria under subsection (b) below.

Ikaria agrees to defend BioLineRxFibrex, its Affiliates and their respective directors, officers, employees and agents at Ikaria’s cost and expense, and shall indemnify and hold harmless BioLineRx Fibrex and its Affiliates and their respective directors, officers, employees and agents from and against any liabilities, losses, costs, damages, fees or expenses (collectively, “Losses”) arising out of any Third Party claim to the extent relating to (i) any breach by Ikaria of any of its representations, warranties warranties, or obligations pursuant to this Agreement, or (ii) personal injury, property damage, product liability or other damage or other Losses resulting from the Development, Manufacture, use use, or Commercialization of a Product by or on behalf of Ikaria or its Affiliates or LicenseesSublicensees, excluding any claim for which BioLineRx Fibrex indemnifies Ikaria under subsection (b) below.
