By Data Recipient. Data Recipient will indemnify, defend and hold the Exchange, and its members, directors, officers, employees and agents harmless from and against any and all claims arising out of or in connection with this Agreement, including, without limitation, any liability, loss or damages (including, without limitation, attorneys' fees and other expenses) caused by any inaccuracy in or omission from, Data Recipient's failure to furnish or to keep, or Data Recipient's delay in furnishing or keeping, any report or record required to be kept by Data Recipient hereunder.

By Data Recipient. If the data is not available in an electronic format, the Data Recipient may create the Limited Data Set from a manual abstraction process from paper records. Data Recipient acknowledges and agrees that neither the Data Recipient nor any person assisting Data Recipient in the abstraction process shall be provided access to PHI unless they have completed all applicable HIPAA training (as evidenced by a HIPAA training certificate); and (2) have signed the Confidentiality Agreement attached hereto as Exhibit C.

By Data Recipient. Data Recipient agrees that it will not Use or Disclose De-identified Data Set Information of Covered Entity for any purposes outside the scope of the UCQG Benchmarking project, including for Research purposes of Data Recipient itself or of any third party. Accordingly, data submissions by Covered Entity will not be shared outside of the Data Recipient’s analytic team for any reason.
