Common use of Buyer’s Indemnification of Seller Clause in Contracts

Buyer’s Indemnification of Seller. Notwithstanding --------------------------------- anything in this Agreement to the contrary, Buyer shall indemnify, defend, protect and hold harmless, Seller from and against any and all Damages incurred in connection with, arising out of, resulting from or incident to any breach of any covenant or warranty, or the inaccuracy of any representation, made by Buyer in or pursuant to this Agreement.

Buyer’s Indemnification of Seller. Notwithstanding --------------------------------- anything in this Agreement to the contraryBuyers, Buyer jointly and severally, shall indemnify, defend, protect indemnify and hold harmless, Seller harmless from and against any and all Damages Losses incurred in connection with, by Seller arising out of, resulting from of or incident to based upon (a) any breach by Buyers of their covenants set forth in Article V of this Agreement; (b) any covenant Taxes or warranty, or related expenses that are the inaccuracy responsibility of any representation, made by Buyer in or Buyers pursuant to Article VI hereof; or (c) failure of Buyer to pay when due any amounts determined to be owed by Buyers under Section 2.4 of this Agreement.
