Common use of Buyer’s Certificate Clause in Contracts

Buyer’s Certificate. Buyer shall have delivered to the Company and the Stockholders a certificate, dated as of the Closing Date and executed by a senior officer of Buyer, certifying to the fulfillment of the conditions set forth in Section 7.01 and Section 7.02.

Buyer shall have delivered to Sellers and the Company and a certificate of the Stockholders a certificateBuyer executed by the Chief Executive Officer of Buyer, dated as of the Closing Date and executed by a senior officer of BuyerDate, certifying to the fulfillment best of his knowledge, that the conditions set forth specified in Section 7.01 Sections 9.2(a), (b) and Section 7.02(c) above have been fulfilled.

Buyer shall have delivered to the Company and the Stockholders Sellers a certificate, certificate executed by an authorized officer of Buyer dated as of the Closing Date and executed by a senior officer of Buyer, certifying to the fulfillment of that the conditions set forth specified in this Section 7.01 and Section 7.02above have been fulfilled.

Buyer Owner shall have delivered to received a certificate signed by an officer of the Company and the Stockholders a certificateBuyer, dated the Closing Date, certifying that the statements set forth in Section 7.2(a) are true as of the Closing Date and executed by a senior officer of (the "Buyer, certifying to the fulfillment of the conditions set forth in Section 7.01 and Section 7.02's Certificate").
