Common use of Business Conduct Inspections Clause in Contracts

Business Conduct Inspections. During the Term and for at least 2 years after the expiry or termination of this Agreement, Xxxxxxxx agrees that it will permit either Adobe’s internal compliance auditor, chief compliance officer and his/her designate, or an independent third party (who is appointed by Adobe and bound by reasonable confidentiality undertakings), to verify Reseller’s compliance with this clause 5.7 (Ethical Conduct and Compliance). Any inspection or audit will be carried out in accordance with clause 5.3 (Records and Inspections) of this Agreement.
