Sellers, jointly and severally, shall indemnify and hold harmless the Purchaser against any Losses which may be incurred by any state or any similar law relating to the sale of inventory, equipment or other assets in bulk in connection with the sale Purchaser as a result of the Purchased Propertynon-compliance with any such "Bulk Sales" provisions or Laws.
