Common use of Brokers or Agents Clause in Contracts

Brokers or Agents. No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction based upon any agreement or understanding alleged to have been made by such Person, directly or indirectly, with the Purchaser or, if applicable, any of the officers, directors or employees of the Purchaser, in connection with any of the Transaction.

Brokers or Agents. No broker, finder investment bank, financial advisor or investment banker other person or entity, is entitled to any brokeragebroker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the Transaction transactions contemplated by this Agreement based upon any agreement or understanding alleged to have been the arrangements made by such Person, directly or indirectly, with the Purchaser or, if applicable, any on behalf of the officers, directors or employees of the Purchaser, in connection with any of the Transaction.

No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction Transactions based upon any agreement or understanding alleged to have been made by such Person, person directly or indirectly, indirectly with the Purchaser or the Parent or, if applicable, any of the officers, directors or employees of the PurchaserPurchaser or the Parent, in connection with any of the TransactionTransactions.

No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction Transactions based upon any agreement or understanding alleged to have been made by such Person, person directly or indirectly, indirectly with the Purchaser Holder or, if applicable, any of the Holder’s officers, directors managers or employees of the Purchaseremployees, in connection with any of the TransactionTransactions.

Brokers or Agents. No agent, broker, finder investment banker, financial advisor or investment banker other firm or Person is entitled to any brokerage, finder’s 's, financial advisor's or other similar fee or commission for which Vendor or any of its affiliates could become liable in connection with the Transaction based upon transactions contemplated by this Agreement as a result of any agreement action taken by or understanding alleged to have been made by such Person, directly or indirectly, with the Purchaser or, if applicable, on behalf of any of the officers, directors or employees of the Purchaser, in connection with any of the TransactionParty.

Brokers or Agents. No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transaction based upon any agreement or understanding alleged to have been made by such Person, person directly or indirectly, indirectly with the Purchaser any Selling Company or, if applicable, any of the Selling Companies’ officers, directors stockholders, employees or employees of the PurchaserAffiliates, in connection with any of the Transaction.
