Common use of BREACH SANCTIONS Clause in Contracts

BREACH SANCTIONS. 2 18.1 Failure by CONTRACTOR to comply with any of the provisions, 3 covenants, or conditions of this Agreement shall be a material breach of this 4 Agreement. In such event, ADMINISTRATOR may, and in addition to immediate 5 termination and any other remedies available at law, in equity, or otherwise 6 specified in this Agreement: 7 18.1.1 Afford CONTRACTOR a time period within which to cure the 8 breach, which period shall be established by ADMINISTRATOR; and/or 9 18.1.2 Discontinue reimbursement to CONTRACTOR for and during 10 the period in which CONTRACTOR is in breach, which reimbursement shall not be 11 entitled to later recovery; and/or 12 18.1.3 Offset against any monies billed by CONTRACTOR but yet 13 unpaid by COUNTY those monies disallowed pursuant to Subparagraph 18.1.2 14 above. 15 18.2 ADMINISTRATOR will give CONTRACTOR written notice of any action 16 pursuant to this Paragraph, which notice shall be deemed served on the date of 17 mailing.

In such 22 event, ADMINISTRATOR may, and in addition to immediate 5 termination and any other remedies 23 available at law, in equity, or otherwise 6 specified in this Agreement: 7 18.1.1 24 18.1. 119.1.1 Afford CONTRACTOR a time period within which to cure the 8 25 breach, which period shall be established by ADMINISTRATOR; and/or 9 18.1.2 26 18.1. 219.1.2 Discontinue reimbursement to CONTRACTOR for and during 10 the 27 period in which CONTRACTOR is in breach, which reimbursement shall not be 11 entitled to later 1 recovery; and/or 12 18.1.3 2 18.1. 319.1.3 Offset against any monies billed by CONTRACTOR but yet 13 unpaid 3 by COUNTY those monies disallowed pursuant to Subparagraph 18.1.2 14 19.1.2 above. 15 18.2 . 4 ADMINISTRATOR will give CONTRACTOR written notice of any action 16 5 pursuant to this Paragraph, which notice shall be deemed served on the date of 17 mailing.

BREACH SANCTIONS. 2 18.1 11 Failure by CONTRACTOR to comply with any of the provisions, 3 covenants, 12 or conditions of this Agreement shall be a material breach of this 4 Agreement. 13 In such event, event ADMINISTRATOR may, in its sole discretion, and in addition to 14 immediate 5 termination and any other remedies available at law, in equity, or 15 otherwise 6 specified in this Agreement: 7 18.1.1 16 19.1 Afford CONTRACTOR a time period within which to cure the 8 breach, 17 which period shall be established by at the sole discretion of ADMINISTRATOR; 18 and/or 9 18.1.2 19 19.2 Discontinue reimbursement to CONTRACTOR for and during 10 the period 20 in which CONTRACTOR is in breach, which reimbursement shall not be 11 entitled to 21 later recovery; and/or 12 18.1.3 22 19.3 Offset against any monies billed by CONTRACTOR but yet 13 unpaid by 23 COUNTY those monies disallowed pursuant to Subparagraph 18.1.2 14 19.2 above. 15 18.2 . 24 ADMINISTRATOR will give CONTRACTOR written notice of any action 16 25 pursuant to this Paragraph, which notice shall be deemed served on the date of 17 26 mailing.
