Breach of Payment Obligations. In the event that Monsanto fails to make timely payment of any amounts due to ArQule under this Agreement, ArQule may terminate this Agreement upon ninety (90) days written notice to Monsanto, unless Monsanto pays all past-due amounts within such ninety-day notice period.
