Common use of Branding Clause in Contracts

Branding. 5.2.1 Except as stated in Section 5.2.2 of this Attachment, in providing Verizon Telecommunications Services to GNAPS, Verizon shall have the right (but not the obligation) to identify the Verizon Telecommunications Services with Verizon’s trade names, trademarks and service marks (“Verizon Marks”), to the same extent that these Services are identified with Verizon’s Marks when they are provided to Verizon’s Customers. Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to GNAPS to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by GNAPS and at prices, terms and conditions to be negotiated by GNAPS and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by GNAPS’s trade name, or that are not identified by trade name, trademark or service mark. 5.2.3 If Verizon uses a third-party contractor to provide Verizon Operator Services or Verizon Directory Assistance Services, GNAPS will be responsible for entering into a direct contractual arrangement with the third-party contractor at GNAPS’s expense (a) to obtain identification of Verizon Operator Services or Verizon Directory Assistance Services purchased by GNAPS for resale with GNAPS’s trade name, or (b) to obtain removal of Verizon Marks from Verizon Operator Services or Verizon Directory Assistance Services purchased by GNAPS for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to GNAPS Talk Unlimited to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by GNAPS Talk Unlimited and at prices, terms and conditions to be negotiated by GNAPS Talk Unlimited and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by GNAPSTalk Unlimited’s trade name, or that are not identified by trade name, trademark or service mark. 5.2.3 If Verizon uses a third-party contractor to provide Verizon Operator Services or Verizon Directory Assistance Services, GNAPS Talk Unlimited will be responsible for entering into a direct contractual arrangement with the third-party contractor at GNAPSTalk Unlimited’s expense (a) to obtain identification of Verizon Operator Services or Verizon Directory Assistance Services purchased by GNAPS Talk Unlimited for resale with GNAPSTalk Unlimited’s trade name, or (b) to obtain removal of Verizon Marks from Verizon Operator Services or Verizon Directory Assistance Services purchased by GNAPS Talk Unlimited for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to GNAPS Neutral Tandem to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by GNAPS Neutral Tandem and at prices, terms and conditions to be negotiated by GNAPS Neutral Tandem and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by GNAPSNeutral Tandem’s trade name, or that are not identified by trade name, trademark or service mark. 5.2.3 If Verizon uses a third-party contractor to provide Verizon Operator Services operator services or Verizon Directory Assistance Servicesdirectory assistance, GNAPS Neutral Tandem will be responsible for entering into a direct contractual arrangement with the third-party contractor at GNAPSNeutral Tandem’s expense (a) to obtain identification of Verizon Operator Services operator services or Verizon Directory Assistance Services directory assistance purchased by GNAPS Neutral Tandem for resale with GNAPSNeutral Tandem’s trade name, or (b) to obtain removal of Verizon Marks from Verizon Operator Services operator services or Verizon Directory Assistance Services directory assistance purchased by GNAPS Neutral Tandem for resale.

Branding. 5.2.1 Except as stated in Section 5.2.2 of this Attachment, in providing Verizon Telecommunications Services to GNAPSMLTC, Verizon shall have the right (but not the obligation) to identify the Verizon Telecommunications Services with Verizon’s trade names, trademarks and service marks (“Verizon Marks”), to the same extent that these Services are identified with Verizon’s Marks when they are provided to Verizon’s Customers. Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to GNAPS MLTC to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by GNAPS MLTC and at prices, terms and conditions to be negotiated by GNAPS MLTC and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by GNAPSMLTC’s trade name, or that are not identified by trade name, trademark or service mark▇▇▇▇. 5.2.3 If Verizon uses a third-party contractor to provide Verizon Operator Services or Verizon Directory Assistance Services, GNAPS MLTC will be responsible for entering into a direct contractual arrangement with the third-party contractor at GNAPSMLTC’s expense (a) to obtain identification of Verizon Operator Services or Verizon Directory Assistance Services purchased by GNAPS MLTC for resale with GNAPSMLTC’s trade name, or (b) to obtain removal of Verizon Marks from Verizon Operator Services or Verizon Directory Assistance Services purchased by GNAPS MLTC for resale.
