With respect to all distributions of Partnership Assets to Partners, the Partnership shall comply with the provisions contained in Section 1.704-(b)(2)(iv)(e) of the Regulations (relating to adjustments to the Partners’ Book Capital Accounts in connection with such distributions) and all allocations and adjustments made in connection therewith shall be in accordance with Article II of this Exhibit A.
