Board Resolution. A resolution from SEARHC’s Board of Directors authorizing the execution, delivery, and performance of this Agreement and all transactions contemplated by this Agreement and in the Facility Lease, on the terms set forth in the Agreement and in the Facility Lease and that all such resolutions are in full force and effect and are all the resolutions adopted in connection with the transactions contemplated by this Agreement.
