Board Cooperation. The Board will provide to the Association information necessary to process a grievance when the information is not reasonably available to the Association otherwise.
Board Cooperation. For so long as ANTA has the right to designate one or more director nominees under Section 3.02, Amer shall: (a) nominate for election and include in any management information circular or other documents relating to the election of directors (or submit to the shareholders of Amer by written consent if applicable) each individual designated as director nominee of ANTA; (b) solicit votes from the shareholders of Amer in favor of the election of the director nominees of ANTA in a manner no less favorable than the manner in which the Company solicits votes in favor of the election of other director nominees at any such meeting; and (c) take all steps which may be necessary or appropriate to recognize, enforce and comply with the rights of ANTA under Section 3.02.
Board Cooperation. If it is necessary to name Board as a party in such action, then Alto must first obtain Board’s prior written permission, which permission shall not be unreasonably withheld, provided that Board shall have reasonable prior input on choice of counsel on any matter where such counsel represents Board, and Alto and such counsel agree to follow all required procedures of the Texas Attorney General regarding retention of outside counsel for state entities.
Board Cooperation.
(1) The Board shall immediately adopt a resolution which states that the members of the Board and senior management recognize that they are to act in the best interest of the Bank, and, to that end, they resolve to behave in a businesslike manner and to cooperate in the Board’s and the Compliance Committee’s efforts to comply with the Articles of this Agreement.
(2) A copy of the resolution shall promptly be forwarded to the ADC.
