Common use of Binding Effect of Resolutions Clause in Contracts

Binding Effect of Resolutions. Every resolution and every special resolution passed in accordance with the provisions of this Article 9 at a meeting of Receiptholders shall be binding upon all the Receiptholders, whether present at or absent from such meeting, and every instrument in writing signed by Receiptholders in accordance with Section 9.14 shall be binding upon all the Receiptholders, whether signatories thereto or not, and each and every Receiptholder and the Subscription Receipt Agent shall be bound to give effect accordingly to every such resolution and instrument in writing.

Binding Effect of Resolutions. Every resolution and Subject to Section 11.19, every special resolution passed in accordance with the provisions of this Article 9 11 at a meeting of Receiptholders Noteholders shall be binding upon all the ReceiptholdersNoteholders, whether present at or absent from such meeting, meeting and every instrument in writing signed by Receiptholders Noteholders in accordance with Section 9.14 11.17 shall be binding upon all the ReceiptholdersNoteholders, whether signatories thereto or not, and each and every Receiptholder Noteholder and the Subscription Receipt Agent Trustee (subject to the provisions for its funding, security and indemnity herein contained) shall be bound to give effect accordingly to every such resolution and instrument in writing.

Every Subject to the provisions of Section 9.17, every resolution and every special extraordinary resolution passed in accordance with the provisions of this Article 9 at a meeting of Receiptholders Debentureholders shall be binding upon all the ReceiptholdersDebentureholders, whether present at or absent from such meeting, and every instrument in writing signed by Receiptholders Debentureholders in accordance with Section 9.14 9.15 shall be binding upon all the ReceiptholdersDebentureholders, whether signatories thereto or not, and each and every Receiptholder Debentureholder and the Subscription Receipt Agent shall be bound Trustee (subject to give effect accordingly to every such resolution and instrument in writing.the
