Common use of Binding Effect/Nonassignment Clause in Contracts

Binding Effect/Nonassignment. This Agreement shall be binding on and inure to the benefit of the parties hereto and their respective successors and permitted assigns, except that neither this Agreement nor any of the rights, interests or obligations hereunder may be assigned or delegated by (i) Morgans to any Person that is not its Affiliate without the prior written consent of DLJMB or (ii) by DLJMB to any Person that is not its Affiliate without the prior written consent of Morgans.
