Binding Effect/Nonassignment Sample Clauses
Binding Effect/Nonassignment. This Agreement shall be binding on and inure to the benefit of the parties hereto and their respective successors and permitted assigns, except that neither this Agreement nor any of the rights, interests or obligations hereunder may be assigned or delegated by (i) Morgans to any Person that is not its Affiliate without the prior written consent of DLJMB or (ii) by DLJMB to any Person that is not its Affiliate without the prior written consent of Morgans.
Binding Effect/Nonassignment. This Agreement shall inure to the benefit of Employee and his personal representatives, heirs and assigns. Employee may not delegate the performance of his obligations or assign his rights hereunder. This Agreement shall inure to the benefit of the Holding Company and the Bank, and the respective successors, but neither of them may assign its rights hereunder. This Agreement shall be binding upon the Holding Company and the Bank and their respective successors and assigns.
