Common use of Binding Effect; Modification Clause in Contracts

Binding Effect; Modification. This Agreement shall be binding upon, and shall inure to the benefit of, the parties hereto and their respective permitted successors and assigns. SART may unilaterally amend this Agreement at any time by providing notice of the amendment to ART Clinic and such amendment will become effective not less than thirty (30) days following notice to the ART Clinic. In the event ART Clinic does not agree with the amendment, ART Clinic may terminate this Agreement as of the effective date of the amendment upon notice to SART; provided, however, that such notice of termination must be received by SART no later than the effective date of the amendment. Except as set forth above, this Agreement may only be amended or modified by mutual written agreement of the parties.
