Binding Effect, Assignment and Entire Agreement. This Agreement ----------------------------------------------- shall become effective upon delivery of the Notes, and acceptance of this Agreement by execution in, to Bank's main office in Malvern, Pennsylvania and shall inure to the benefit of, and shall be binding upon, the respective heirs, executors, administrators, successors and permitted assigns of the parties hereto. Debtor has no right to assign any of its rights or obligations hereunder without the prior written consent of Bank. This Agreement, and the documents executed and delivered pursuant hereto, constitute the entire agreement between the parties, and may be amended only by a writing signed on behalf of each party.
