Common use of Binding Declaration Clause in Contracts

Binding Declaration. ‌ Each Party will have the right to terminate this agreement at its sole discretion if the Court declines the Binding Declaration consistent with the terms of this agreement, and either (i) the period to appeal from the Court's ruling has expired without an appeal having been filed, (ii) all Parties waive in writing their appeal rights, or (iii) an appeal is filed and the Court's decision is not reversed or vacated in such a way as to make the settlement binding on all Eligible Shareholders as contemplated by this agreement, in each case within thirty (30) Business Days after the event prompting the termination.
