BINDING AGREEMENT AND ASSIGNMENT OF INTEREST. This Agreement shall be binding upon the OWNER and the CONTRACTOR and the partners, successors, heirs, executors, administrators, assigns and legal representatives of the OWNER and the CONTRACTOR. Neither the OWNER nor the CONTRACTOR shall assign, sublet or transfer any interest in this Agreement without the written consent of each other, and such consent shall not be unreasonably withheld.
