Basic Representations. DB represents to the other parties hereto that the representations made by DB in Section 3 of the LP Swap with respect to itself are true and accurate. SLUS represents to DB that the representations made by SLUS in Section 3 of the SLUS Swap with respect to itself as true and accurate; provided that with respect to the representations in Section 3(b) of the SLUS Swap, such representations are true and accurate other than with respect to the occurrence of a “Downgrade Termination Event” under the SLUS Swap.
